Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Boredmood Studios ("the Platform"), including the website at boredmood.studio, any subdomains thereof, the Boredmood OS iOS application, and any related services, APIs, widgets, or tools provided by Boredmood Studios or its affiliates (collectively, "the Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform and all associated Services. Your continued use of any portion of the Platform following the posting of updated Terms constitutes your binding acceptance of such changes. We reserve the right to modify, amend, or update these Terms at any time, at our sole discretion, without prior written notice to you, although we will make commercially reasonable efforts to notify registered users of material changes via email or in-app notification.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Boredmood Studios ("Company," "we," "us," or "our"). By creating an account, accessing any feature, uploading any content, making any purchase, or otherwise interacting with the Platform, you represent and warrant that you have the legal capacity and authority to enter into this agreement.

2. Eligibility

You must be at least thirteen (13) years of age to create an account or use the Platform. If you are between the ages of thirteen (13) and eighteen (18) (or the age of legal majority in your jurisdiction, whichever is greater), you may only use the Platform with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Users under the age of thirteen (13) are strictly prohibited from using the Platform under any circumstances.

By using the Platform, you represent and warrant that: (a) you meet the minimum age requirement set forth herein; (b) you have not been previously suspended or removed from the Platform; (c) your use of the Platform does not violate any applicable law, regulation, or obligation you may have to a third party; (d) you will provide accurate, current, and complete registration information and will maintain the accuracy of such information; and (e) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country.

3. Description of Service

Boredmood Studios is a creative platform situated at the intersection of music, art, and underground culture. The Platform provides a comprehensive suite of tools and features designed to enable creative expression, community building, and cultural discovery. The Services include, but are not limited to, the following:

• Explore Canvas — An interactive, physics-based moodboard for community content discovery, browsing, and visual exploration of curated and user-generated content in an infinite scrolling canvas environment
• Studio Workspace — A creative workspace enabling users to build mood boards, arrange visual compositions, organize media assets, and drop multimedia content including images, videos, audio files, and text-based posts
• DJ Maker & DAW — An integrated digital audio workspace providing DJ set arrangement tools, mixing capabilities, waveform visualization, beat-matching utilities, transition tools, and collaborative music creation features
• Events — A comprehensive event discovery, listing, management, and ticketing system supporting multiple cities and venue types, including RSVP management, QR code check-in, and event analytics for organizers
• Underground Radio — A community-driven live audio streaming feature enabling users to broadcast, listen to, and discover live audio content including DJ sets, podcasts, and ambient soundscapes
• Social Features — A complete social networking layer including user profiles, following/followers systems, direct messaging, content collections and bookmarks, likes, reposts, comments, @mentions, and notification systems
• Clans — Microcommunity groups with dedicated feeds, real-time group chat, member management, clan analytics, reputation scoring, badge systems, announcements, and configurable privacy settings
• Credits System — An in-platform virtual currency system enabling access to premium features, AI-powered creative tools, and enhanced capabilities
• AI-Powered Tools — Artificial intelligence features including AI image generation, style transfer, and various creative assistance tools powered by third-party machine learning models
• Marketplace — A discovery hub for applications, tools, plugins, and creative resources within the Boredmood ecosystem

The specific features, functionality, and availability of Services may vary based on your account type, geographic location, device capabilities, and other factors. We reserve the right to add, modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice.

4. User Accounts & Registration

Certain features of the Platform require you to register for an account. When you create an account, you agree to: (a) provide accurate, truthful, current, and complete information as requested in the registration form; (b) maintain and promptly update your account information to keep it accurate, current, and complete; (c) maintain the security and confidentiality of your account credentials, including your password and any authentication tokens; (d) accept all responsibility for any and all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account or any other breach of security.

You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. We will not be liable for any loss or damage arising from your failure to comply with the foregoing security obligations. You agree not to create an account using a false identity or information, or on behalf of someone other than yourself. You agree not to create an account if you have been previously prohibited from using the Platform. We reserve the right to suspend or terminate your account at any time, for any reason, including but not limited to a violation of these Terms, at our sole discretion and without prior notice.

Account authentication is handled through Supabase Auth, a third-party authentication service. By creating an account, you also agree to Supabase's terms of service and privacy policy as they relate to authentication and identity management. We may offer multiple authentication methods including, but not limited to, email/password, magic link, and third-party OAuth providers (such as Google, Apple, or GitHub). The availability of authentication methods may change at any time.

5. User Content & Intellectual Property

You retain all ownership rights in and to the content that you create, upload, post, transmit, or otherwise make available through the Platform ("User Content"), subject to the rights, licenses, and obligations described in these Terms. You are solely responsible for your User Content and the consequences of posting or publishing it.

By uploading, publishing, posting, or otherwise making User Content available on or through the Platform, you hereby grant Boredmood Studios a non-exclusive, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, digitally transmit, and otherwise exploit your User Content in connection with the operation, promotion, and improvement of the Platform and the Services, across any and all media formats and distribution channels now known or hereinafter devised, for the duration of such content being available on the Platform plus a reasonable period of time for backup and archival purposes.

You represent and warrant that: (a) you are the creator and owner of, or have the necessary licenses, rights, consents, and permissions to use and to authorize Boredmood Studios to use, all intellectual property and other proprietary rights in and to your User Content; (b) your User Content does not and will not infringe, violate, or misappropriate any third-party right, including copyright, trademark, patent, trade secret, moral right, right of privacy, right of publicity, or any other intellectual property or proprietary right; and (c) your User Content does not contain any material that is defamatory, libelous, fraudulent, or otherwise unlawful.

You may remove your User Content from the Platform at any time by deleting it through the applicable feature of the Services. Upon removal, the license granted herein will terminate, except that Boredmood Studios may retain copies of your User Content in our backup systems for a commercially reasonable period of time. Removed content may also persist in cached or archived pages, or if other users have stored, copied, or shared your User Content.

6. AI-Generated Content

The Platform offers AI-powered creative tools that utilize third-party artificial intelligence and machine learning services (including, but not limited to, fal.ai and other model providers) to generate images, apply style transfers, and produce other creative outputs ("AI-Generated Content"). By using these tools, you acknowledge and agree to the following:

• AI-Generated Content is produced by third-party models and may not always produce accurate, appropriate, or expected results
• You may use AI-Generated Content for personal and commercial purposes, subject to the underlying AI provider's terms of service and usage policies
• Boredmood Studios does not claim ownership of AI-Generated Content created through the Platform using your prompts and creative direction
• AI-Generated Content may inadvertently resemble existing copyrighted works, trademarks, or the likeness of real individuals; you are solely responsible for verifying the legality and appropriateness of AI-Generated Content before using it commercially
• The quality, style, resolution, and availability of AI generation features may vary and are subject to change based on third-party provider capabilities and pricing
• AI generation features consume credits; the number of credits required per generation may change at any time
• We reserve the right to review, moderate, or remove AI-Generated Content that violates these Terms or our content guidelines
• Your text prompts and generation parameters may be logged for abuse prevention, quality improvement, and billing purposes

7. Audio, Music & DJ Content

The Platform provides tools for uploading, arranging, mixing, and sharing audio content, including music tracks, DJ sets, sound effects, samples, and other audio files. By using these features, you acknowledge and agree that:

You are solely and exclusively responsible for ensuring that you have all necessary rights, licenses, permissions, and authorizations to upload, reproduce, distribute, publicly perform, and otherwise use any audio content you make available through the Platform. This includes, but is not limited to, obtaining synchronization licenses, mechanical licenses, master recording licenses, performance rights, and any other rights required under applicable copyright law.

Boredmood Studios is not responsible or liable for any copyright infringement, intellectual property violation, or other legal claim arising from or related to user-uploaded audio content. You agree to indemnify and hold harmless Boredmood Studios from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to your audio content or your breach of any representation or warranty contained in these Terms.

DJ sets, mixes, and arrangements created using the DJ Maker are considered derivative works of the underlying audio content. You are responsible for compliance with all applicable laws regarding the creation and distribution of derivative works. We reserve the right to remove any audio content that we reasonably believe infringes upon the intellectual property rights of any third party, without prior notice to you.

8. Purchases, Credits & Billing

Certain features and Services on the Platform require the use of credits, which may be purchased through the Platform. All credit purchases are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to the following:

• All purchases are final and non-refundable, except as required by applicable law or as otherwise explicitly stated at the time of purchase
• Credits have no monetary value outside the Platform and cannot be exchanged for cash, transferred to other users, or redeemed outside the Boredmood ecosystem
• Boredmood Studios reserves the right to modify credit pricing, credit packages, exchange rates, and the features or services accessible through credits at any time, with or without prior notice
• Unused credits do not expire, unless your account is terminated for a violation of these Terms, in which case all unused credits may be forfeited
• You are responsible for all charges incurred under your account, including any unauthorized charges resulting from your failure to maintain the security of your account credentials
• Prices displayed on the Platform are exclusive of applicable taxes, which will be calculated and added during the checkout process based on your billing address and applicable tax regulations
• We reserve the right to refuse, cancel, or reverse any transaction that we reasonably believe to be fraudulent, unauthorized, or in violation of these Terms

We do not store your full credit card number, CVV, or other sensitive payment information on our servers. All payment data is securely processed and stored by Stripe in accordance with PCI DSS (Payment Card Industry Data Security Standard) requirements. For details on how Stripe handles your payment information, please refer to Stripe's privacy policy.

9. Events & Ticketing

The Platform provides event discovery, listing, creation, management, and ticketing services. Event organizers may list events, sell tickets, manage RSVPs, and track attendance through the Platform. Event attendees may discover, purchase tickets for, and attend listed events. By using the Events features, you acknowledge and agree that:

• Event information displayed on the Platform is provided by event organizers and may not always be accurate, complete, or up to date
• Boredmood Studios acts as a platform and facilitator, not as an event organizer, promoter, or venue operator, and is not responsible for the planning, execution, safety, or quality of any listed event
• When purchasing tickets through the Platform, you agree to the specific event's terms and conditions, including any age restrictions, dress codes, or venue policies set by the organizer
• Boredmood Studios is not responsible for event cancellations, postponements, schedule changes, venue changes, or disputes between attendees and event organizers
• Ticket refund policies are determined by the event organizer; Boredmood Studios does not guarantee refunds for cancelled or modified events unless required by applicable law
• You assume all risks associated with attending any event discovered through the Platform, including but not limited to personal injury, property damage, or exposure to communicable diseases
• Event organizers are solely responsible for compliance with all applicable local, state, and federal laws, regulations, and ordinances related to their events, including but not limited to occupancy limits, fire safety codes, noise ordinances, liquor licensing, and accessibility requirements

10. Clans & Community Features

Clans are user-created microcommunities within the Boredmood ecosystem. By creating or joining a Clan, you agree to the following:

• Clan leaders are responsible for moderating content and behavior within their Clans and ensuring compliance with these Terms
• Boredmood Studios reserves the right to disband, modify, or restrict any Clan that violates these Terms or engages in harmful conduct
• Clan names, tags, and descriptions must not infringe on trademarks, misrepresent affiliations, or contain offensive, discriminatory, or illegal content
• Clan reputation scores, badges, and rankings are determined by algorithmic systems and may be adjusted at our discretion
• Content shared within Clans marked as "clan only" is intended for Clan members; however, we cannot guarantee absolute privacy of Clan content
• Real-time Clan chat messages are subject to the same content guidelines as all other User Content on the Platform

11. Prohibited Conduct

You agree not to engage in any of the following prohibited activities when using the Platform. This list is illustrative, not exhaustive, and Boredmood Studios reserves the right to determine, in its sole discretion, what constitutes a violation:

• Upload, post, transmit, or generate content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, invasive of another's privacy, hateful, discriminatory, or racially or ethnically objectionable
• Upload, distribute, or transmit any content containing child sexual abuse material (CSAM) or any content that exploits, harms, or endangers minors in any way
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to the Platform, other user accounts, computer systems, or networks connected to the Platform through hacking, password mining, brute force, social engineering, or any other means
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or data structures of the Platform
• Use the Platform for any form of spam, unsolicited or unauthorized advertising, promotional materials, junk mail, chain letters, pyramid schemes, or any other form of solicitation
• Use automated scripts, bots, crawlers, scrapers, or other automated means to access, collect data from, or interact with the Platform without our prior written consent
• Circumvent, disable, or otherwise interfere with security-related features of the Platform, including features that prevent or restrict use or copying of content, or enforce limitations on use
• Circumvent, manipulate, or exploit the credits system, promotional offers, referral programs, or any other incentive or reward system offered by the Platform
• Interfere with, disrupt, or create an undue burden on the Platform's servers, networks, or infrastructure, including through denial-of-service attacks or other malicious activities
• Stalk, harass, bully, intimidate, or threaten any other user of the Platform, or encourage violence or harm against any individual or group
• Upload or transmit viruses, worms, Trojan horses, time bombs, cancel bots, spyware, adware, or any other harmful or malicious code or technology
• Use the Platform for any illegal purpose, or in violation of any local, state, national, or international law or regulation
• Create multiple accounts for the purpose of artificially inflating engagement metrics, reputation scores, or circumventing bans or restrictions
• Collect, harvest, or store personal information of other users without their express consent
• Sell, resell, lease, sublicense, or otherwise transfer your account or any rights granted under these Terms to any third party

12. Content Moderation & Enforcement

Boredmood Studios reserves the right, but is not obligated, to monitor, review, screen, edit, remove, or disable access to any User Content, at any time and for any reason, at our sole discretion, without prior notice to you. We may take enforcement actions including, but not limited to:

• Issuing warnings to users who violate these Terms
• Removing or disabling access to violating content
• Temporarily suspending account access (cooling-off period)
• Permanently terminating user accounts
• Reporting illegal activity to appropriate law enforcement authorities
• Pursuing legal remedies, including seeking injunctive relief and damages

We are under no obligation to provide you with notice or explanation for any enforcement action. Our decision to take or not take enforcement action in a particular instance does not constitute a waiver of our right to take enforcement action in any other instance.

13. Intellectual Property Rights

The Platform and its original content (excluding User Content), features, functionality, design, visual identity, trade dress, trademarks, service marks, logos, and branding are and will remain the exclusive property of Boredmood Studios and its licensors. The Platform is protected by copyright, trademark, trade dress, patent, and other intellectual property and proprietary rights laws of the United States and other applicable jurisdictions.

The Boredmood Studios name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Boredmood Studios or its affiliates or licensors. You may not use such marks without the prior written permission of Boredmood Studios. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

Nothing in these Terms grants you any right to use any trademark, service mark, logo, or trade name of Boredmood Studios or any third party. All rights not expressly granted herein are reserved.

14. DMCA & Copyright Complaints

Boredmood Studios respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Platform that are reported to our designated Copyright Agent.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Platform, please provide our Copyright Agent with the following information: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material on the Platform that is claimed to be infringing, with sufficient detail for us to locate it; (d) your contact information; (e) a statement that you have a good faith belief that the disputed use is not authorized; and (f) a statement, under penalty of perjury, that the information provided is accurate and you are authorized to act on behalf of the copyright owner.

15. Third-Party Links & Services

The Platform may contain links to third-party websites, services, or content that are not owned, operated, or controlled by Boredmood Studios. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. You acknowledge and agree that Boredmood Studios shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit or interact with through the Platform.

16. Service Availability & Modifications

The Platform and all Services are provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, virus-free, secure, or available at any particular time or location. We make no warranties or representations, express or implied, regarding the reliability, accuracy, completeness, suitability, or availability of the Platform or the information, products, services, or related graphics contained therein.

We reserve the right to modify, suspend, discontinue, or restrict access to all or any part of the Services at any time, for any reason, with or without notice, and without liability to you. This includes the right to impose limits on certain features and services or restrict your access to parts or all of the Platform. We may also conduct scheduled and unscheduled maintenance that may temporarily affect the availability of the Services.

17. Disclaimers

To the fullest extent permitted by applicable law, Boredmood Studios disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Boredmood Studios does not warrant that the Platform will meet your specific requirements, that the Platform will be uninterrupted, timely, secure, or error-free, that the results obtained from use of the Platform will be accurate or reliable, or that any errors in the Platform will be corrected.

Any content downloaded, accessed, or otherwise obtained through the use of the Platform is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system, mobile device, or data that results from the download of any such content or use of the Platform. No advice or information, whether oral or written, obtained by you from Boredmood Studios or through or from the Platform shall create any warranty not expressly stated in these Terms.

18. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Boredmood Studios, its officers, directors, employees, agents, partners, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if Boredmood Studios has been advised of the possibility of such damages), arising out of or in connection with: (a) the use or inability to use the Platform; (b) any unauthorized access to or alteration of your transmissions or data; (c) statements or conduct of any third party on the Platform; (d) any content posted, transmitted, or received through the Platform; or (e) any other matter relating to the Platform.

In no event shall Boredmood Studios' total aggregate liability to you for all claims arising out of or relating to the use of or inability to use the Platform or the Services exceed the greater of: (a) the amount you have paid to Boredmood Studios in the twelve (12) months immediately preceding the event giving rise to the liability; or (b) one hundred United States dollars (USD $100.00).

The limitations of liability set forth in this section shall apply to the fullest extent permitted by law in the applicable jurisdiction, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal or equitable theory.

19. Indemnification

You agree to defend, indemnify, and hold harmless Boredmood Studios, its officers, directors, employees, agents, partners, contractors, licensors, service providers, subcontractors, suppliers, interns, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Platform; (d) your violation of any law, statute, ordinance, regulation, or rights of a third party; or (e) any misrepresentation made by you.

This indemnification obligation will survive the termination of your account and these Terms.

20. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall first be attempted to be resolved through good faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute.

If the dispute cannot be resolved through negotiation, you and Boredmood Studios agree that the dispute shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator, and the place of arbitration shall be determined by the AAA. The language of the arbitration shall be English.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate as a plaintiff or class member in any class action or representative proceeding. If this specific provision is found to be unenforceable, the entirety of this arbitration clause shall be null and void.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or proprietary rights.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of California for the resolution of any disputes not subject to arbitration as set forth herein.

22. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination: (a) your right to use the Platform will immediately cease; (b) we may delete or deactivate your account and all related information and files in your account; (c) any unused credits may be forfeited; and (d) any provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us at support@boredmood.studio or using the account deletion feature in your settings. Account termination does not automatically entitle you to a refund of any credits or payments.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity, illegality, or unenforceability of such provision shall not affect any other provision of these Terms, which shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

24. Waiver

The failure of Boredmood Studios to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Boredmood Studios' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

25. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices, policies, or guidelines published by Boredmood Studios on the Platform, constitute the entire agreement between you and Boredmood Studios regarding the use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

26. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, in whole or in part, without the prior written consent of Boredmood Studios. Boredmood Studios may assign or transfer these Terms, or any rights or obligations hereunder, at any time without restriction and without notice to you. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

27. Force Majeure

Boredmood Studios shall not be liable for any delay or failure in performance resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, embargoes, governmental actions, sanctions, labor disputes, strikes, shortages, fires, floods, earthquakes, network infrastructure failures, internet service provider failures, third-party service outages, power outages, or any other event beyond our reasonable control.

28. Changes to Terms

We reserve the right to update, modify, or replace these Terms at any time, at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Continued use of the Platform after the effective date of any modifications to these Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the new Terms, you must stop using the Platform.
